The commercial terms here are indicative

The pages about our capital investment and Build to Buyout routes summarise how we usually work. They aren't an offer that can be accepted, and they don't create any obligation on either side.

Figures such as day rates, multipliers, discounts, caps, percentages and time limits are typical values, shown to explain how the terms work. We agree them for each deal, and they will differ. Worked examples, including the calculator, are illustrations. They aren't projections or forecasts.

You can view the terms for the UK, in pounds, or for the US, in dollars. The two sets of figures are separate examples set for each market. The dollar figures aren't a currency conversion of the pound figures, and the instruments and tax schemes we mention differ between the two.

Nothing is binding until both sides have signed written agreements, reviewed by lawyers on both sides.

Mote Software Ltd is not authorised or regulated by the Financial Conduct Authority. Nothing on this site is a financial promotion, investment advice, a recommendation or an inducement to engage in investment activity.

Our explanations of ASAs, SAFEs, SEIS, EIS, dilution, valuation caps and similar ideas are general information for founders. They aren't advice about your situation. Tax treatment depends on your circumstances and on rules that can change. Take your own legal, accounting and tax advice before acting on anything here.

Using the site

You may read, print and share these pages for your own non-commercial use. You may not republish the content as your own, use it to build a competing offer document, or use automated tools to put an unreasonable load on the site.

Mote Software Ltd owns or licenses the content, design, mark and name of this site, and they are protected by copyright and trade mark law. This doesn't change our client agreements, under which everything we build for you is yours from the first commit.

Accuracy and availability

We try to keep this site accurate and up to date, but we don't promise that it's complete, free of errors or always available. We may change or remove any part of it without notice.

Links to other sites

When we link to other sites, such as Companies House or the ICO, we don't control them and aren't responsible for what they contain.

Liability

To the fullest extent permitted by law, we exclude liability for any loss arising from reliance on the content of this site. We do not exclude or limit liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded.

Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
